Is the CA COE Legal?

Got into an interesting discussion about the CA Certificate of Exemption and how it affects transfers between FEDERALLY licenced collectors and dealers. Other states do not have this additional hoop for 03 FFL holders to jump through. Only CA has added this extra tax to what should be a simple deal between 2 licensed individuals who are already federally regulated.

First off, it's a Certificate of Eligibility, not Exemption.

second off, 03 FFL holders don't need a COE at all. It does allow them some "perks" such as eliminating the waiting period and 1 handgun a month rules, a C&R collector is not required to have one at any time

is the COE constitutional? kinda ambiguous. Are ANY state gun control laws constitutional? (unfortunately, there is no definitive answer in the eyes of the law)
